SKW Schwarz has advised auticon GmbH on its merger with the Norwegian Unicus Holding AS. Following the contribution of the shares of all Unicus shareholders to auticon, the Norwegian investment company Ferd AS, which already held stakes in both companies prior to the transaction, will become the leading investor and largest single shareholder of auticon GmbH.
The merger of the two IT service providers auticon and Unicus will create the world's largest company where the majority of employees (over 80%) belong to the autistic spectrum. The two companies will be brought together under the umbrella of a holding company (auticon GmbH) and will be present in 14 countries.
auticon GmbH employs more than 300 qualified autistic IT professionals in the technology sector. Founded in 2011 in Berlin, auticon is now active in Germany, Switzerland, the United Kingdom, France, Italy, the United States, Canada, and Australia and New Zealand.
Unicus, founded in 2008, is headquartered in Oslo and has another ten offices in the Scandinavian region, the Netherlands and Poland.
